Stephen Day,
Title: CEO / Director

Stephen A. Day provides management advisory and capitalization support for small-cap firms, mostly in the Defense, Homeland Security, Information Technology, and Alternative Energy markets. Mr. Day was the Managing Partner in FundWorks, a fund with interests in biotech firms. He was also Chairman of the Board of Corporate Fission, LLC, a BPO that provides accounting and taxation expertise and software development for major corporations. Stephen was Chairman of Secure Waters Security Group, Inc., a maritime security firm, and sits on the board of four other energy, healthcare and IT firms. He was also president (mentor) to an 8a IT firm, Secured Sciences Group, providing SETA and IT services to the Marine Corps, NSA and National Geographic Digital Media. His firm, Day Technology Group, provided training for the US Army’s Combat Medic School at Ft. Sam Houston, San Antonio, Texas and provided emergency response planning for public buildings, including schools. He is a mentor for the National Science Foundation for life sciences.

He is Executive Director of the Healthcare Policy Institute and the chairman of Hawkeye Med Tech, Inc, a telehealth company.

Stephen was Chairman of the Board and interim CFO of Docpoint Global, Inc., a physician/patient management SAAS company. He has also served on the Board of the National Graphene Association and serves as an advisor to several university research centers on commercialization of cutting-edge technologies. He is an advisor to Parallel 18, an accelerator in San Juan, Puerto Rico and several Economically Disadvantaged Women Owned Small Businesses and 8As. He served as Chairman of the Board at Secured Waters Security Group, Inc, a maritime security firm based in Miami. He was Board Director and audit committee chair at TVI Corporation, a bio-chem defense contractor in Maryland.

He is Executive Director of the 11,000-member Board of Directors Society. The Society trains Board Directors on financial literacy, governance, compliance, defensible compensation, and other relevant issues.

Claudine Halabi
Title: COO

Ms. Halabi is an established Woman-Owned Small Business, experienced in government contracting and consulting. Her two-fold strength in transportation and logistics management as well as government procurement and contracting brings important leadership and breadth to the management team of Heartland Clinics of America Inc.

For 15+ years, Ms. Halabi walked countless businesses (including her own) through complicated DOT regulations, ensuring that their operations and practices complied with DOT requirements as well as transportation related emergency response management. It was through this work that she found our true passion—government contracting and consulting. From then on, She has worked hand-in-hand with corporations, small businesses, and government agencies, using her connections in the transportation industry to achieve goals set for each project.

She manages all company staff, fleet maintenance schedules, safety compliance, government contracts to small business certifications to name a few. Ms. Halabi is a certified Woman Owned Small Business, Disadvantaged Business Enterprise, Small Business Enterprise, Minority Business Enterprise, GSA Schedule holder and a DOD Approved Carrier.

Her mission is to drive business expansion in the private/ government sector.

Yuri Sernande
Yuri Sernande,

Mr. Yuri Sernande is a seasoned forward-thinking entrepreneur and thought leader who has a true passion for community and globally impacting projects. He has served in a wide range of business and technical capacities for a myriad of industries and nonprofits. He is an innovator with a track record of unconventional and transformational leadership strategies. He has a desire for developing and leading teams, strategic initiatives, streamlining key business processes, as well as creating innovative products, services, business models and platforms. Yuri has 21+ years of Management and Technology consulting experience. Working with leading-edge Hardware, Software as a Service and IIoT technology companies. He especially enjoys working with organizations looking to employ the next generation of Digital Transformation Strategies. Previous to the tech industry, Yuri has served as a Firefighter/EMT for 7 years and United States Army for 9 years.

Kenneth P. Moritsugu, M.D., M.P.H., F.A.C.P.M.
Rear Admiral, USPHS (Retired),
Title: CMO/Director

Dr. Moritsugu is a physician-administrator with extensive experience and a proven track record of successful leadership, policy development, program implementation, evaluation, and administration, in a variety of health settings. These include health professional development, health care delivery to large underserved populations, emergency response, health policy, correctional health, nation-wide health care delivery systems, managed care, the uniformed services of the United States, mental health, prevention, obesity and overweight, diabetes, bioterrorism, pandemic influenza including COVID-19, health literacy, underage drinking, road safety, health coalition building, and biomedical start-ups. He has a special and personal expertise in organ and tissue donation and transplantation.

Rear Admiral Moritsugu was the Acting Surgeon General of the United States, in 2002 and again from July 2006 until his retirement from the Commissioned Corps of the United States Public Health Service (USPHS) in September 2007. A career officer in the USPHS for 37 years, he served as the Deputy Surgeon General of the United States from 1998.

Other key HHS and government positions in which RADM Moritsugu served include the Director of the Division of Medicine, Deputy Director of the Bureau of Health Professions, Director of the National Health Service Corps, and Assistant Bureau Director for Health Services and Medical Director of the Federal Bureau of Prisons.

Dr. Moritsugu was the Vice President for Global Professional Education and Strategic Relations for Johnson & Johnson’s Diabetes Solutions Companies, and former WorldWide Chairman of the Johnson & Johnson Diabetes Institutes (JJDI). He further served as the Interim Chief Science and Medical Officer of the American Diabetes Association. He has been Chairman of the Board of Children With Diabetes, as well as a past member of the Boards of Directors of the American Association of Diabetes Educators, now Association of Diabetes Care and Education Specialists, the American Dietetics Association, the National Kidney Foundation, and the Diabetes Hands Foundation, among many others.

Dr. Moritsugu is Board Certified in Preventive Medicine; holds Fellowships in the American College of Preventive Medicine, the Royal Society of Public Health, the Royal Society of Medicine, and the National Academy of Public Administration; and is a Certified Correctional Health Professional. He is also an Honorary Fellow of the Association of Diabetes Care and Education Specialists. He is an Adjunct Professor several universities and holds twelve honorary degrees from academic institutions, and the Distinguished Service Medals from the US Public Health Service, the Department of Justice’s Federal Bureau of Prisons, and the Uniformed Services University of Health Sciences, among many other awards and recognitions. He is an Honorary Member of the American Society of Transplant Surgeons, and the American Association of Physician Assistants. Further, he serves on the Board of Governors of Chaminade University of Honolulu, and is Chairman of the Dean’s Advisory Council for the George Washington University School of Public Health.

Stephan Shaya

Stephen Shaya, M.D.

Stephen Shaya, M.D.’s life’s journey has been one of service instilled by his Iraqi
Christian parents and his grandmother.   He graduated from Birmingham Brother Rice
High School Summa Cum Laude was awarded a Merit Scholarship to attend Wayne
State University. During his time at WSU, Dr. Shaya won many leadership awards,
including the Outstanding Student Leader in 1991, and became a Howard Hughes
Medical Institute Research Grant Awardee. He was selected to serve on the Wayne
State University Board of Governors from 1991 to 1993 and then attended Wayne State
University Medical School and graduated in 1996. Dr. Shaya subsequently trained in
Family Practice at North Oakland Medical Center and then did a fellowship at Wayne
State University for Occupational and Environmental Health. Since 2004, Dr. Shaya has
been the Executive Servant Leader at J & B Medical, a global healthcare solutions
company. J & B is a privately held global health care consortium based in Wixom,
Michigan.   Founded in 1996, Stephen worked closely with his father and family to start
eighteen different business enterprises and now have customers all over the globe,
including 48 states in the U.S. This innovative company has brought many new ideas
and solutions forward to delivering care and continues to strive to improve patient
access and quality. His role oversees all strategy, innovation, and growth of this family
of companies.  By leading the planning and development of their new enterprises, many
describe him as an "intrapreneur", someone who behaves as an entrepreneur within a
large organization.  Dr. Shaya's efforts have received many recognitions, including the
2015 Global Distinguished Health Care Award from the Center of Economic and
Leadership Development, and a United States Congressional Commendation. In
addition,  Dr. Shaya received the Global Medical Innovation and Leadership Award on
August 19, 2016, presented at the United Nations along with a commendation from the
New York State Senate. In 2017, Dr. Shaya was named the American Diabetes "Father
of the Year" on 4/28/2018.  Dr. Shaya joined an esteemed lineup of global leaders at the
Cura Foundation's Fifth International Vatican Conference in May of 2021, at which time
he was presented with a Vatican Pontifical Hero Award given to individuals who through
their generosity, compassion, wisdom , and leadership have inspired hope by working
tirelessly to improve human health and increase the quality of life around the world. He
currently sits on many boards, including as the Chairman of the American Diabetes
Association in Michigan, Citizens Rx,  Endeavor Detroit, Henry Ford Hospital (West
Bloomfield), and Velatura.  Most recently, he was named to the International Council at
Harvard's Kennedy School Belfer Center for Science and International Affairs, a group
of prestigious leaders from the public and private sectors advancing ideas and research
to achieve a more secure and peaceful world.   In addition,  Dr. Shaya has been active
in the family office world and actively participates in an advisory role for the Kensington
S.V. Global Limited Partner Advisory Committee,  Alpha Square Group based out of
Toronto, Hong Kong, and New York City,  Chartline Capital Partners out of Delaware,
and the Lake Nona Impact Forum.  He served as the Chairperson of the JDRF Roadtrip
Event in 2021, which raised money for accelerating research towards a cure of type one
diabetes.  On January 30, 2022, Dr. Shaya spoke at the World Expo in Dubai on how to
reimagine the global medical supply chain.   At every turn, he has tried to demonstrate

his grandmother's favorite phrase, which was from Mother Teresa.  "Not all of us can do
great things.  But we can do small things with great love."

Steven James, M.D.
Steven James, M.D.

Dr. Steven P. James is the head of a medical education consulting group focused on providing medical education on topics of neuroscience and the history of psychopharmacology. He is also cofounder and Chief Medical Officer (CMO) of Clarity Telehealth, a company dedicated to improving access to patient care and breaking down silos and medical care.

He is a published medical author and writer as well as a frequent presenter to both health care professionals and public on topics related to the science of cannabinoids, psychopharmacology, and medical history. He has appeared on ABC’s Good Morning America and local television and radio programs.

Dr. James attended the University of Kentucky (UK). He obtained A Bachelor of Science (BS) in the honors program at UK, and a Medical Degree (MD) in 1979. In addition, he received a Master of Business Administration (MBA) degree at the University of California, Irvine in 1994.

He completed his psychiatry residency at the New York Presbyterian Hospital (Cornell), fellowship and psychopharmacology at Stanford University, and a clinical fellowship in Psychobiology at the National Institute of Mental Health (NIMH). He subsequently served as assistant professor of psychiatry and cofounder of the Penn Center for Sleep Disorders at the University of Pennsylvania. Currently he is on the voluntary faculty of Psychiatry at UK.

In the pharmaceutical industry Dr. James has worked in drug development, medical affairs, and global business units for over 3 decades at several companies including Eli Lilly, Elan, Allergan (now AbbVie), Shire and Merck-Serono.

After retirement from the pharmaceutical industry, Dr. James has continued to pursue his career-long interests in improving patient access to mental health, advancing scientific innovation into clinical treatment, and integrating psychiatry into mainstream medical practice.

Dr. James is a lifetime fellow and board-certified In the American Board of Psychiatry and Neurology (Psychiatry) and lifetime fellow of the American Board of Sleep Medicine (ABSM).

Bill Smallwood
Title: Director / Investor

Bill’s professional focus has always been to help ensure that technical innovations actually create productivity gains for business. For 35 years he’s developed software products for the niche industry of petroleum marketing, primarily back-office accounting, but also web portals, tablet apps for fuel deliveries, and lubricant e-catalogs. He is also an active early-stage impact investor who scans multiple business concepts a week, favoring business-to-business solutions that have found a use for new technology.

Paul Barach

Professor Paul Barach, B.Med.Sci, MD, MPH, Major (Ret.), is an anaesthesiologist and critical care physician-scientist, a healthcare innovator, a digital health expert and a serial entrepreneur with a passion for creating real world solutions which improve the quality and efficiency of the healthcare system for both patients and physicians. Paul has more than 25 years of experience as a practicing physician with a long history of successful operational responsibilities as Chief Medical Officer and Chief Quality Officer in academic medical centers and integrated delivery systems.

Dr. Barach is Chief Executive Office of J Bara Consulting, where he helps healthcare systems, companies and investors rethink problems and solutions. Special areas of focus include patient safety, risk management, innovation strategies and tactics, digital health technologies, optimal staff engagement, workflow automation, telehealth, electronic medical record optimization, patient centered medicine, team training, physician leadership and change management. Paul serves as Chief Medical Officer and Head of Population health at two start up companies. Paul has published over 200 papers, 5 books and has received over $16,000,000 i research grant funding (and of more than $100,000,000 in group funding).

Paul is on faculty at Thomas Jefferson University and trained at Harvard University and Massachusetts General Hospital. Paul is an elected member of the lead honorary society the Association of University Anesthesiologists. Paul holds numerous international professorial teaching positions. Paul spent 5 years in the military as a combat battalion physician, field hospital commander, primary care physician, is a veteran of the Gulf War, and was discharged at the rank of Major.
